By accessing or using CalcIt.io (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and Sayornis LLC (“we”, “us”, “our”, or “Company”). By accessing, browsing, or using any tool, calculator, converter, analysis feature, or other functionality on CalcIt.io, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Electronic Acceptance: Your use of the Site constitutes your electronic signature and acceptance of these Terms as if you had physically signed them. You consent to conduct transactions electronically and agree that your electronic acceptance has the same legal effect as a handwritten signature.

2. Description of Service

CalcIt.io is a free website that provides interactive financial calculators, unit converters, analysis tools, and other utilities (collectively, “Tools”) for informational and educational purposes only. All Tools operate entirely within your web browser—we do not collect, store, or transmit the data you enter.

The Site and all Tools are provided free of charge as a public service.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED FIFTY DOLLARS ($50.00 USD).

Certain code for CalcIt.io is made available on GitHub under the BSD 3-Clause License. Your use of that open-source code is governed by the terms of that license. However, the BSD 3-Clause License does NOT grant you rights to:

10. Dispute Resolution and Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

10.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE (COLLECTIVELY, “DISPUTES”) SHALL BE RESOLVED BY BINDING ARBITRATION, EXCEPT AS PROVIDED BELOW.

10.5 Venue for Non-Arbitrable Claims

For any Disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, and waive any objection to venue in such courts.

10.6 Time Limitation on Claims

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR BE FOREVER BARRED, REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY. Within this period, any failure by us to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sayornis LLC regarding the use of the Site and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

11.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, severed from these Terms.

11.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

11.4 Assignment

You may not assign or transfer these Terms or any rights granted hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this provision shall be void. We may freely assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

11.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall be deemed to confer any right or benefit on any person that is not a party to these Terms.

11.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

11.7 Survival

The following provisions shall survive any termination or expiration of these Terms: Sections 3 (Disclaimers and Limitations of Liability), 5.1 and 5.4 (Intellectual Property Ownership and Feedback), 9 (Indemnification), 10 (Dispute Resolution and Arbitration), 11.2 through 11.7 (Severability, Waiver, Assignment, No Third-Party Beneficiaries, Force Majeure, and Survival), and any other provision that by its nature should survive termination.

11.8 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

12. Age Restriction

You must be at least eighteen (18) years old to use this Site. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. We do not knowingly collect information from or provide services to individuals under 18. If we learn that we have collected information from a minor, we will take steps to delete such information promptly.

  7. We have made reasonable efforts to provide accurate Tools but cannot guarantee accuracy
  8. You have no claim against Sayornis LLC for damages arising from your use of the Site
  9. You are at least 18 years old and have the legal capacity to agree to these Terms
  10. You voluntarily assume all risks associated with using the Site
